Glass Earth Gold is seeking to raise up to $C3 million ($NZ4m) through private placements.
The funds would be used for mineral exploration and general working capital purposes, the company said today.
The private placements will consist of up to 10 million units at a price of C30c each, with each unit to be a common share and half of a common share purchase warrant.
Each warrant would entitle the holder to buy a common share at a price of C50c per share, in the 24 months from the date of issuance.
The private placements may be increased by an additional 4m units if subscriptions for units exceed $3m.
