Sky TV shareholders will be asked to approve an increase in directors' fees to $750,000 a year at the company's annual meeting in Auckland next month.
Since 2005, directors' fees have totalled $500,000 a year.
Increasing the fees would help attract and keep high-quality directors and provide greater flexibility, the company said.
The total increase was not expected to be allocated in the next financial year.
Sky has seven board members, including chairman Peter Macourt, News Ltd's Sydney-based chief operating officer.
Shareholders will also be asked to re-elect Michael Miller and Robert Bryden as directors.
Shares in Sky TV were down 5c at $5.14 in early afternoon trading.
