Directors' approval clauses in sale and purchase agreements considered by Court of Appeal

A “subject to directors’ approval” clause in an agreement by a company to purchase a property has been considered by the Court of Appeal. The Court confirmed the High Court’s observation that this was the first time that interpretation of such a clause had come before a New Zealand court:
