The sale to Optimized Systems and Solutions (OSyS) will allow the company to grow from its present turnover of $5 million, senior vice-president Ted Thomas says.
Superstructure makes a software database called AQD which is used more than 100 airlines, including Air New Zealand, Qantas, Singapore Airlines and Cathay Pacific.
AQD records and manages data about accidents and safety risks.
It also developed software for security companies and the police but this sector is now handled by a separate firm created in 2010.
Superstructure, which has been operating for 28 years, employs 20 staff in the capital and several in a London office.
Mr Thomas said OSyS employed 400 staff and economies of scale would enable Superstructure to grow and pursue bigger opportunities.
